Do I need an operating agreement for my Virginia LLC?+

What is the difference between a business structure and a tax election?+
A business’s legal structure and its federal tax classification are related, but they are not necessarily the same thing. For example, an LLC is a legal entity created under state law, but an LLC may be treated for federal income tax purposes as a disregarded entity, partnership, or corporation depending on the number of owners and any elections made with the IRS. An eligible LLC may also elect S corporation tax treatment.This is why saying that a business is “an LLC” does not necessarily answer the question of how it is taxed—and saying that a business is “an S corp” does not necessarily identify its underlying state-law entity structure. Choosing how to organize a business and determining the appropriate tax treatment involve different legal and tax considerations that should be evaluated together.
Is forming a nonprofit the same as becoming tax-exempt?+
No. Forming a nonprofit organization under state law and obtaining federal tax-exempt status are separate legal and tax considerations. A nonprofit’s organizational structure and governing documents can also affect its ability to qualify for federal tax-exempt status.
